Creditor Voluntary Liquidations
Where it is no longer commercially viable for a company to continue to operate or the company has already ceased trading, and there are insufficient assets to meet all the company’s liabilities, then a creditors’ voluntary liquidation may be the best option available to a company. The appointment of the liquidator is simple and is instigated by directors and shareholders of the company.
Member Voluntary Liquidations
Where a company has come to the end of its useful life and it is anticipated that the company has sufficient assets to meet all its liabilities within a period of twelve months,then a members’ voluntary liquidation may be the best option available to a company. The appointment of the liquidator is instigated by directors and shareholders of the company.
Court Liquidations
Usually an application to the Court to wind up a company is made by a creditor trying to recover their debt. The Liquidator, amongst other things takes possession and control of the assets of the company, conducts an investigation into the company’s affairs and provides reports to ASIC and creditors.
Provisional Liquidations
In instances where there is some urgency or concern for the protection of company assets, usually on the application of a creditor, director or shareholder the Court may appoint a Provisional Liquidator. The Provisional Liquidator takes possession and control of the assets of the company and reports back to the Court following completion of his investigation into the affairs of the company.
